- En carta al Presidente Iván Duque el jefe del Ministerio Público formuló cerca de una veintena de preguntas dirigidas a que la opinión pública conozca las razones que motivaron el anuncio de un préstamo de hasta $370 millones de dólares a la empresa sin que se incluya a otros países de la región.
- «El Ministerio Público considera necesario no olvidar que el objetivo de esta operación no es realmente rescatar a una empresa específica ni a empresario o accionista alguno de la quiebra, sino garantizar la continuidad en la prestación de un servicio, la conectividad aérea de los colombianos y la actividad económica en general, es decir, el objetivo estatal es proteger una actividad de interés nacional”.
- “Cuando el Estado colombiano interviene para salvar a una empresa, debe reiterarse que lo hace para proteger intereses superiores distintos de los de esa respectiva empresa o empresario”.
- “Emprender esta maniobra de rescate sin involucrar a otros países que también se beneficiarían de la actividad de Avianca puede significar una desproporcionada o excesiva presión sobre la capacidad financiera del Estado”.
- “Si el crédito de la Nación resulta insuficiente para asegurar esto, será simplemente parte de los abonos a la considerable deuda de la empresa, lo cual no asegurará que la misma pueda volver a operar normalmente y se convertirá posiblemente en la primera de varias operaciones similares, consumiendo recursos escasos que el tejido empresarial del país podría haber aprovechado con mayor probabilidad para salvar puestos de trabajo y crear capacidad de generación de ingresos, en ese o en otro sector de interés general”.
- “El Ministerio Público como representante de los intereses de la sociedad, continuará dando seguimiento cercano al desarrollo de los hechos y alertando sobre situaciones o conductas que puedan poner en entredicho el deber del Gobierno de actuar con transparencia absoluta en la inversión de los recursos de todos los colombianos”.
El Procurador General de la Nación, Fernando Carrillo Flórez, en carta al Presidente Iván Duque pidió que el financiamiento de hasta US$370 millones por 18 meses que anunció del gobierno para poner en marcha un plan de salvamento de la aerolínea panameña Avianca se adelante con toda la transparencia y de cara al país, y que el ejecutivo explique a los ciudadanos las acciones que piensan desplegar para evitar los riesgos que trae una inversión de “la magnitud de los dineros públicos que está utilizando”.
En la misiva el jefe del Ministerio Público planteó 18 interrogantes dirigidos a explicarle a la opinión pública cómo esta empresa panameña, con operaciones a lo largo del continente americano y deudas del orden de los US$5.000 millones o más, que son anteriores a la pandemia por el coronavirus, podría salvarse con un financiamiento como el que plantea el gobierno. Precisó además que aunque Avianca es la compañía de mayor cobertura y la más antigua en Colombia, no es la única aerolínea que presta el servicio de transporte público nacional en el país.
“Surgen de allí varios interrogantes: ¿Fueron consideradas otras alternativas con cálculos y proyecciones? ¿Cuenta el gobierno nacional con un soporte idóneo para la decisión que anunció? Si ello es así ¿Por qué no ha sido conocido dicho soporte técnico y financiero por el país? ¿Cómo asegurará el gobierno nacional que este objetivo de interés nacional se cumpla? ¿Como garantizará que los dineros se destinen a estos fines, y que esos recursos se puedan recuperar? ¿Cómo determinó el monto del rescate y cuáles fueron los cálculos y proyecciones en que se basó? ¿Estimó su término de duración? ¿A qué entendimiento llegó con los acreedores mayoritarios al comprometer estos sustanciales recursos públicos?”.
Insistió, además, “¿Ofrecerán los accionistas o los acreedores alguna garantía por los dineros que el Estado colombiano va a aportar a Avianca? ¿Asumieron los accionistas o los acreedores algún compromiso correlativo al del gobierno nacional? ¿Se asumieron compromisos adicionales, en particular en cuanto a la permanencia de la actual administración, la llegada de una nueva, o el regreso de anteriores administradores, cuya situación legal debería aclararse antes de permitírseles reasumir el control de una empresa parcialmente financiada con dinero del Estado? ¿Cómo serán los desembolsos y cuál será la ley aplicable a los mismos -nacional o extrajera-? ¿Qué incidencia fiscal tendrán? ¿Cuál será el mecanismo de acompañamiento que establecerá el gobierno nacional a esta operación para que los recursos se destinen a lo que debe ser? ¿Va a haber créditos similares para otras aerolíneas en momentos en que se debe mantener la competencia en sectores estratégicos?”.
Carrillo Flórez lamentó que junto con el anuncio que se hizo a través de un comunicado de prensa del Ministerio de Hacienda no se revelara la información sobre las evaluaciones previas, condicionamientos y mecanismos previstos para que el financiamiento no ponga en riesgo los recursos del FOME (Fondo de Mitigación de Emergencias), que se nutre de recursos del Fondo de Ahorro y Estabilización del Sistema General de Regalías y del Fondo Nacional de Pensiones de las Entidades Territoriales, “teniendo en cuenta el contexto de una insolvencia transfronteriza en curso que aparentemente cobija varias empresas del conglomerado Avianca”.
Precisó que si bien es cierto que el Decreto 444, expedido al amparo de la emergencia sanitaria y que faculta al Gobierno para apoyar financieramente a empresas que desarrollen actividades de interés nacional, no definió qué se debe entender por tales actividades, ni fijó criterios para priorizar, es necesario que todas las acciones desplegadas de desarrollen de cara a la opinión pública.
“Pero en aras de los principios de transparencia y objetividad que obligatoriamente deben presidir toda decisión de gobierno, -en especial si compromete recursos públicos-, debe ser explícito el concepto de actividad de interés nacional, así como los criterios de priorización entre distintas actividades de tal tipo”.
Sostuvo que ante las graves consecuencias que deja la emergencia sanitaria por el covid-19, la decisión del gobierno de adelantar un plan de salvamento para Avianca, que debió contemplar todas las opciones disponibles, debe estar encaminada exclusivamente al interés nacional de evitar trastornos en la prestación del servicio aéreo, asegurando su continuidad y la seguridad de los usuarios.
“El Ministerio Público considera necesario no olvidar que el objetivo de esta operación no es realmente rescatar a una empresa específica ni a empresario o accionista alguno de la quiebra, sino garantizar la continuidad en la prestación de un servicio, la conectividad aérea de los colombianos y la actividad económica en general, es decir, el objetivo estatal es proteger una actividad de interés nacional. La Procuraduría General de la Nación cree que el gobierno nacional debe responder de cara a la ciudadanía todos estos interrogantes, antes de continuar con esta operación y realizar desembolsos de dineros en el proceso de reorganización de Avianca Holdings”.
Insistió que aunque el Decreto 444 permite inversión de dinero del FOME en instrumentos de capital y/o deuda aun cuando al momento de su realización se esperen resultados financieros adversos, o que tengan rendimientos iguales a cero o negativos, “también manda que estas decisiones de inversión se evalúen en forma conjunta y en contexto con las necesidades sociales y económicas ocasionadas por la emergencia. Dicha evaluación igualmente debería divulgarse, pues estas decisiones deben adoptarse sin sombra alguna por la magnitud de los dineros públicos que se están utilizando”.
Carrillo Flórez advirtió sobre la necesidad de que el país conozca cómo se protege la Nación contra el riesgo de terminar convertida en accionista minoritaria de Avianca, actualmente en proceso de reorganización en el Tribunal del Distrito Sur de Nueva York, teniendo en cuenta que no existe sustento para imponerles a los accionistas el deber de comprar la participación del Estado en un plazo corto, ni la de ceder el control de la empresa a un accionista mayoritario capaz de gestionarla adecuadamente, como manda el Decreto 811 de 2020.
“En realidad, cuando el Estado colombiano interviene para salvar a una empresa, debe reiterarse que lo hace para proteger intereses superiores distintos de los de esa respectiva empresa o empresario; por ejemplo, cuando rescata bancos pretende proteger a los ahorradores y al mercado financiero, y siempre requiere tener control del eventual desembolso de recursos, de su destinación y de las consecuencias de no ser éstos reembolsados. Aquí todo lo anterior se ignora. Como se ignora qué consideración ha recibido del Gobierno la presencia de otras empresas en ese mercado”.
Manifestó que Avianca no es una aerolínea que presta servicios exclusivamente en Colombia, por lo que emprender un plan de salvamento sin involucrar a otros países que también se beneficiarían de su continuidad puede significar una desproporcionada o excesiva presión sobre la capacidad financiera del Estado, si se tiene en cuenta, adicionalmente, que esos gobierno cuentan con programas de apoyo al sector aeronáutico durante la pandemia.
“Si el crédito de la Nación resulta insuficiente para asegurar esto, será simplemente parte de los abonos a la considerable deuda de la empresa, lo cual no asegurará que la misma pueda volver a operar normalmente y se convertirá posiblemente en la primera de varias operaciones similares, consumiendo recursos escasos que el tejido empresarial del país podría haber aprovechado con mayor probabilidad para salvar puestos de trabajo y crear capacidad de generación de ingresos, en ese o en otro sector de interés general«.
Reiteró que el país ya ha conocido historias similares en las que se comprometieron recursos públicos y cuando los costos aumentaron y los dineros resultaron insuficientes, la Nación se vio obligada a comprometerse nuevamente para no perder lo ya invertido, por lo que es perentorio que el gobierno defina con certeza si asumirá o no compromisos adicionales y se comprometa a revelar al país los resultados de la Reunión de Acreedores de Avianca, prevista para el 21 de septiembre, donde de definirá el futuro de la empresa y la destinación de la financiación que hará Colombia.
“En todo caso, el Ministerio Público como representante de los intereses de la sociedad, continuará dando seguimiento cercano al desarrollo de los hechos y alertando sobre situaciones o conductas que puedan poner en entredicho el deber del Gobierno de actuar con transparencia absoluta en la inversión de los recursos de todos los colombianos”, puntualizó.
